1. Explanation:

• Facilitates interactions between Sellers and Buyers.
• Accessible via the website norathread.com or any substituted addresses.

Website

• The website located at the URL norathread.com and its associated sub-domains, forming part of the Platform.

User

• Any individual who uses the Platform, whether registered or not.

Member

• Refers to anyone who registers on the website.

Product:

• Any item or service listed for sale on the Platform by a Seller.
• Must comply with the General Conditions and not be a Forbidden Product.

Forbidden Product

• Refers to a product prohibited from being sold on the Platform, as detailed in our terms and Conditions.

Seller

• A Member who opens a virtual shop on the Platform and offers products for sale.

Buyer:

• A Member who has shown interest in at least one product by placing an order with a Seller or adding it to their Wishlist.

Content

• Any material offered by a Member on the Website, including but not limited to Products, data, text, images, comments, and evaluations.

Virtual Wallet

• For Sellers, it’s the reserve of funds available on their account, used for purchases or services on the Platform.
• For Buyers, it’s the reserve of funds refunded from purchases made on the Platform, available for future purchases.
• Each member has a Virtual Wallet upon account creation, facilitating transactions according to the General Conditions.

2. Our Responsibilities:

Platform Functionality

• The Platform serves as an online exchange and sales space for Products that adhere to the General Conditions and Nora Thread Marketplace’s policy on Forbidden Products.
• Members can list, sell, and purchase Products on the Platform within legal provisions and General Conditions.

Support for Sellers

• Nora Thread Marketplace offers Sellers the tools and resources to showcase and sell their products effectively.
• Sellers have access to virtual shops, promotional tools, and community features to engage with other Members.

Intermediary Role

• Nora Thread Marketplace acts as an intermediary between Buyers and Sellers.
• It does not intervene in transactions, and Buyers and Sellers independently conclude sales on the Platform.
• Nora Thread Marketplace does not own or hold Products for sale unless specifically mentioned.

Independent Relationship

• Nora Thread Marketplace and Members operate as independent parties without establishing subordination or employment relationships.

Dispute Resolution

• Members are responsible for informing Nora Thread Marketplace of disputes or damages resulting from transactions.

Promotional Activities

• Nora Thread Marketplace reserves the right to participate in promoting Products sold by Sellers.
• This includes partnerships with other websites, media publications, and email advertisements, adhering to legal provisions.

Limited Control

• Nora Thread Marketplace does not control the information provided by Members on the Platform.
• Members should exercise caution as information may be inaccurate or misleading.

Communication Authorization

• By agreeing to the General Conditions, Users authorize Nora Thread Marketplace to contact them with new product offerings or platform updates.
• Users can opt-out of these communications at any time by contacting Nora Thread Marketplace.

3. Member’s Obligations:

Registration:

• To access the Platform, the Member must register and open an account on the website.
• Registration is open to individuals over 16 years old and legal entities, with minors requiring prior authorization from their legal guardian.
• Registration for a legal entity must be done by an authorized representative.

Providing Information

• Members must provide accurate, updated, and complete information during registration.
• This includes personal data and a valid email address.
• Members are responsible for promptly updating any changes to their information.

Username and Password

• Members must choose a username and password, avoiding any offensive or rights-violating terms.
• Requests for username changes can be made through Nora Thread Marketplace’s customer service.

Unique Account

• Registration creates a unique account for accessing the Platform and for communications.
• Username and password confidentiality must be maintained, with immediate notification of any unauthorized access.

Single Account Usage

• Members commit to using only one account unless expressly permitted by Nora Thread Marketplace.
• Unauthorized creation or use of multiple accounts may result in suspension.

Compliance with General Conditions

• Members must adhere to the present General Conditions and legal provisions when using the Website and providing Content.

Responsibility for Content

• Members are solely responsible for their Content, even if moderated by Nora Thread Marketplace.
• Prohibited actions include violating copyrights, defamation, discrimination, and engaging in any illegal activities.

Content Usage Rights

• By submitting Content, Members grant Nora Thread Marketplace certain usage rights for promotional and partnership purposes.

Visibility of Content

• Members acknowledge that their Content may be visible to other Users on the Website.

Indemnification

• Members agree to indemnify Nora Thread Marketplace for any third-party actions arising from their Content.
• Nora Thread Marketplace reserves the right to modify or remove Content violating General Conditions without notice.

Reporting Forbidden Products

• Members must promptly report any Forbidden Products on the Website to Nora Thread Marketplace.

Prohibited Actions

• Members must not engage in keyword manipulation, link redirection, or circumvention of paid services on the Platform.

Termination for Misconduct

• Nora Thread Marketplace may terminate accounts for actions detrimental to its interests or violating applicable laws.

Commercial Solicitation

• Members must not engage in unauthorized mass contact with other Members for commercial purposes.

Acting in Good Faith

• Members are obliged to act in good faith in their interactions with Nora Thread Marketplace and other Members.

4. Seller’s Obligations

Nora Thread Marketplace’s Goal and Product Criteria

• Help Sellers sell their Products and develop their business.
• Products sold on norathread.com/shop/must be African inspired, meaning:
• Made from African-origin materials.
• Reflect African, Black, or Afro lifestyle/culture.
• Recognized as African inspired by Nora Thread Marketplace.

Platform Functionality and Payment Obligations

• Sellers create virtual shops using unique accounts.
• Required to offer credit card payment and installment options.
• Promotional tools provided by Nora Thread Marketplace are optional for Sellers.

Forbidden Product Listing

• Sellers must not list:
• Products unauthorized by Nora Thread Marketplace.
• Products violating laws, regulations, or good customs.
• Intangible items or those soliciting donations.
• Products not matching Seller’s offerings.
• Products the Seller cannot deliver or doesn’t hold rights to photos.
• Products offering prohibited benefits like skin lightening.

Actions Against Forbidden Products

• Nora Thread Marketplace reserves the right to:
• Delist Forbidden Products.
• Suspend or close Seller accounts.
• Share information with authorities.

Seller Commitments

• Accurate product descriptions and compliance with regulations.
• Responsibility for product legality and conformity.
• Guaranteeing Nora Thread Marketplace against legal claims.
• Confidentiality of Buyer information and adherence to order processing purposes.

Dispute Resolution and Professional Seller Obligations

• Nora Thread Marketplace intervenes in disputes and reminds Professional Sellers of legal obligations.
• Professional Sellers must provide registration information.
• Adherence to applicable laws and regulations.

Delivery and Refund Commitments

• Sellers commit to timely delivery or refunds, with updates to Buyers if necessary.

Seller’s Chart Adherence and General Conditions

• Sellers must adhere to Nora Thread Marketplace’s Seller’s Chart and General Conditions.
• Seller’s conditions cannot contradict laws or Nora Thread Marketplace’s rules.

Seller Image Protection and Platform Functionality

• Sellers must resolve issues in favor of Buyers and uphold Nora Thread Marketplace’s image.
• Commitment to platform functionality and timely response to Buyers.

Legal Compliance and Seller’s General Conditions

• Sellers must comply with applicable laws and platform rules.
• In case of conflicts, platform rules prevail, and Sellers must correct discrepancies.

5. Buyer’s Obligations:

• The Buyer is limited to creating one account on the Platform, which grants access to purchasing products.
• The Buyer must adhere to all laws and regulations concerning the acquisition of goods.
• After selecting Product(s), the Buyer must review order details, amounts, and provide necessary payment information. Confirmation by the Seller constitutes acceptance by the Buyer, serving as a purchase offer.
• Upon ordering a Product on the Platform, the Buyer agrees to disclose their name, surname, delivery address, country, and town to Sellers and potentially to website visitors (through ratings).
• The Buyer is responsible for verifying the accuracy of their provided address and cannot hold the Seller or Nora Thread Marketplace accountable for address mistakes.
• Orders placed by the Buyer are independent; non-acceptance of one or more orders by corresponding Sellers does not void other orders. The Buyer is obligated to fulfill orders for available Product(s).
• Upon receiving ordered Product(s), the Buyer must confirm receipt. Failure to confirm receipt or lodge a complaint within 30 days of the order’s shipment date results in the transaction being considered finalized between the Seller and the Buyer.
• The Buyer must thoroughly read and verify product descriptions, seller’s shop, and sales conditions, including shipping, before making a purchase. Retraction of purchase due to confusion or missed information is not permissible.
• The Buyer is responsible for contacting the Nora Thread Marketplace team to modify displayed or recorded information or to be removed from the Nora Thread Marketplace mailing list.

6. Sale process

Registration and Payment Methods

• Buyers must register as Members before or during purchase.
• Payment methods include:
  • Secure credit card payment system
  • PayPal
  • Virtual Wallet (if sufficient credit)

Purchase Process

• Sale concludes upon Seller’s confirmation of purchase on the Site.
• Buyers can add Products from multiple shops to their cart and settle at once.
• Each Seller manages their order after payment, with order confirmation sent to Buyer and Seller.

 Sale Confirmation and Refunds

• Sale is concluded upon Buyer payment on the Site, with Seller confirmation within 48 hours.
• Failure to confirm within 48 hours results in automatic order cancellation and refund to Buyer’s Virtual Wallet.
• Refunds are defaulted to Buyer’s Virtual Wallet, with responsibility for transfer to bank account or reuse on the website.
• Seller shop suspension occurs after the 3rd consecutive invalidated order.
• In case of confirmation within 48 hours, Seller’s Virtual Wallet is credited for the transaction amount minus commission and transaction fees.

 Payment in Installments

• Buyers can opt for installment payments, with transaction costs of 10% of the total order amount.
• Payment schedule:
• One-third plus transaction and shipping costs due at order.
• One-third due at 30 days.
• Balance due at 60 days for orders above $60.
• Installment payment option applies to orders above $60 and must be made with a credit card valid for at least 3 more months.

 Seller Obligations and Payment Failure

• Sellers must send products upon order confirmation, even if paid in installments.
• In case of card payment failure, recovery costs are incurred, and Sellers may not receive missing funds if not covered by Nora Thread Marketplace.

Shipment and Delivery

Responsibility: Sellers are responsible for shipping orders to Buyers within the announced delivery deadlines and in compliance with applicable legal regulations.

Buyer Contact Details: Complete contact details of the Buyer are accessible to the Seller upon payment.

• Notification: Sellers must inform Nora Thread Marketplace and the Buyer once the order is ready for shipment, providing the delivery date or necessary delay.
• Tracking Information: If shipped by tracked mail, Sellers must provide the tracking number to the Buyer.
• Risk and Cost: Products are shipped at the risk and cost of the Seller.
• Reshipment Responsibility: In the case of shipment without tracking, Sellers are responsible for reshipping the product at their own cost.

Order Confirmation and Rating

• Confirmation and Rating: Upon delivery, Buyers must confirm receipt of the order and rate the Seller for the transaction to access corresponding funds.
• Manual Crediting: In sales with tracking numbers, Sellers can be manually credited if the tracking indicates receipt, even without Buyer confirmation after Seller contact.

Transaction Tracking and Resolution

• Tracking: Transaction tracking is available on the Website at any time for Members, allowing for fund transfer.
• Reclamations and Refunds: Buyer queries regarding reclamations, retraction rights, and refunds must be directed to Nora Thread Marketplace and the Seller within the legal timeframe, up to 21 days after purchase.
• Automatic Closure: Transactions are automatically closed after 30 calendar days without confirmation or upon Buyer confirmation of receipt.
• Nora Thread Marketplace Intervention: In the absence of timely response by the Seller (less than 48 hours), Nora Thread Marketplace may refund the Buyer to ensure satisfaction.

 Evaluation and Transaction End

• Buyer Evaluation: Once delivered, Buyers can evaluate the transaction using the Website’s evaluation system, after which the transaction is marked as “Ended.”

 Nora Thread Marketplace Disclaimer

• Nora Thread Marketplace holds no responsibility for the sale and cannot guarantee or be held accountable for it.
• Buyer Claims and Refunds
• Submission: Buyer claims, retraction rights, and refund requests must be directed to Nora Thread Marketplace as per the terms and conditions.
• Transaction Closure: Transactions close 30 days after Seller shipment unless a claim is filed by the Buyer.
• Intervention: Buyers can contact Nora Thread Marketplace at any time to ensure satisfaction or obtain a refund for any transaction.
• Customer Service Intervention: If an issue remains unresolved between parties for 7 days, the Buyer can contact Nora Thread Marketplace Customer Service for intervention.

• Secure Payment System
• Implementation: Nora Thread Marketplace has implemented a secure credit card payment system on the Platform.
• Mandatory Payment: Credit card payment is mandatory in cases specified in the General Conditions and when the Buyer’s order reaches the 3 times payment threshold.

• Account Authorization and Usage
• Authorization: In cases requiring credit card payment, the Seller authorizes Nora Thread Marketplace to open an account in the institution or financial partner’s name.
• Usage: The account will only be used for transactions conducted via Nora Thread Marketplace’s secure payment system as per General Conditions.
• Renouncement: Sellers relinquish benefits from sums (interests, etc.) generated by immobilization of received amounts during order execution.

• Withdrawal of Funds
• Conditions: Sellers can withdraw funds from the Virtual Wallet after Buyer confirmation of receipt or 30 days post-shipment with a valid tracking number.
• Verified Sellers: Verified Sellers designated by Nora Thread Marketplace can withdraw funds weekly.
• Submission Deadline: Payout requests must be submitted on the platform before (The date) to be processed for the current week; otherwise, they’ll be processed the following week.

7. Reclamations and Retraction Rights

• Addressing Queries: Buyer reclamations, retraction rights, and refund queries must initially be directed to the Seller. If resolution cannot be achieved, the Buyer can then contact Nora Thread Marketplace if necessary.
• Management Process: Both Buyer and Seller can follow the resolution process in their respective accounts. An alert system in the order tracking area facilitates communication, and contacting Nora Thread Marketplace is accessible from there.
• Supervision and Resolution: Both parties must act diligently for reclamations’ resolution under Nora Thread Marketplace’s supervision. Nora Thread Marketplace holds the final decision on Buyer refunds.
• Seller Obligations: If the Seller refuses to comply with a claim or fails to address it within 48 hours, Nora Thread Marketplace may intervene and refund the Buyer. The refunded amount will be charged to the Seller.
• Temporary Wallet Blockage: Nora Thread Marketplace reserves the right to temporarily block a Seller’s Wallet during dispute resolution. In cases of repeated claims or high cancellation rates, Nora Thread Marketplace may also block the Member’s Virtual Wallet temporarily or permanently or deactivate the account.
• Return Procedures: In cases of non-conforming Products or retraction rights usage, the Buyer must return the Product to the Seller. Proper packaging and shipping precautions are the Buyer’s responsibility.
• Refund Method: Buyers who paid via the Platform’s secure credit card payment system will be refunded to their Virtual Wallet. Buyers can use the Virtual Wallet for future purchases on the Platform or request transfer to their bank or PayPal account.

8. Financial Dispositions

Nora Thread Marketplace Commission

• Nora Thread Marketplace earns revenue through the intermediation between Buyers and Sellers by charging a monthly fee and/or commission as described in this section.

• Modification Policy: Nora Thread Marketplace reserves the right to modify its policy regarding product sales and commissions without indemnity and will inform its members accordingly. Changes will be effective upon posting on the Website. Temporary modifications will be communicated along with their duration.

Acceptance of Modifications: If commission fees increase, Sellers will be notified and required to accept the new terms. Non-acceptance allows Sellers to terminate the agreement, leading to account cancellation.

Classic Sellers

• Sellers under the “classic” category have subscription options:
• Quarterly: $60
• Half-yearly: $100
• Annual: $200

• Subscription Renewal: Subscriptions renew automatically unless Sellers request termination through Nora Thread Marketplace customer service before expiry.
• Commission and Transactional Fees: Sellers agree to pay Nora Thread Marketplace a commission of 12% (incl. tax) and transactional fees of 4% on the total order amount, including shipping costs, upon order acceptance and payment.
• Refund Deductions: In case of Buyer refunds, Nora Thread Marketplace deducts the commission from future earnings, with Sellers responsible for the remaining due amount. Refunds are proportional to the amount refunded to the Buyer, with Sellers paying any remaining commission balance.
• Exceptions to Refund: Nora Thread Marketplace does not refund commission if Sellers fail to address Buyer claims within 48 hours or breach General Conditions. Specific operations may alter commission rates, communicated to Members in advance.

Top Sellers

• Nora Thread Marketplace evaluates Seller eligibility for “Top Seller” status at creation and weekly thereafter.

Subscription Options:

• Quarterly: $60
• Half-yearly: $100
• Annual: $200
• Automatic Renewal: Subscriptions renew automatically unless Sellers request termination through Nora Thread Marketplace customer service before expiry.
• Commission and Transactional Fees: Sellers agree to pay Nora Thread Marketplace a commission of 6% (incl. tax) and transactional fees of 4% on the total order amount, including shipping costs, upon order acceptance and payment.
• Refund Deductions: Nora Thread Marketplace deducts the commission from future earnings in case of Buyer refunds. Sellers are responsible for any remaining commission balance.
• Exceptions to Refund: Nora Thread Marketplace does not refund commission if Sellers fail to address Buyer claims within 48 hours or breach General Conditions.
• Modification of Commission: Commission rates may be modified for specific operations, with prior notification to Members.
• Billing and Payment Mode

Automatic Deductions:

• Nora Thread Marketplace automatically deducts commissions and fees from the Seller’s Virtual Wallet upon order confirmation by the Seller, or within 48 hours of the order if payment is made through the secure system.
• If the balance is insufficient, deductions may result in a negative balance.
• Nora Thread Marketplace reserves the right to debit commission and fees from the Seller’s Virtual Wallet or their designated payment method at any time.

Payment Deadline:

• Sellers must settle any outstanding amounts via credit card or PayPal within 5 working days after the end of each month.
• Delay fees of 10% per week may apply for late payments.

Alternative Payment Method:

• Sellers may request to settle their commission using a different method by emailing Nora Thread Marketplace at info@norathread.com.

Bank Wiring:

• Sellers can request balance transfer to their bank accounts following the guidelines mentioned above.
• Transfers occur on the next Wednesday, and bank information must be provided in advance.
• Additional fees may apply for Sellers outside the United States.

Subscription Details:

• Subscriptions are non-refundable and replace the current one for the chosen duration.
• Billing history is accessible in the Seller’s account member space.

Recurring Payments, Subscriptions, and Deferred Payments

Recurring Payments:

• Users can set up recurring payments such as the payment in 3 times using Nora Thread Marketplace Virtual Wallets.
• Subscriptions require timely payment regardless of the user’s financial condition.

Renewal:

• Trimestral or semestrial subscriptions renew automatically without specific alert.

Termination:

• Members can terminate recurring payments by emailing info@norathread.com, effective from the next subscription event.

Boost Packs and Other Highlighting Services

Sponsored Views:

• Sellers can purchase sponsored views to highlight their products on the platform.
• Each view on a sponsored product deducts 1 credited view from the boost account.

Modifications and Offers:

• Sellers can modify boosted products and purchase offers in their personal space.

Nora Thread Marketplace Authority:

• Nora Thread Marketplace reserves the right to accept, moderate, or refuse boosts to maintain quality.
• Additional actions such as boosting on social networks or newsletters are subject to Nora Thread Marketplace’s approval.

9. Platform Ownership:

• The Platform, Website, content, catalog, texts, illustrations, photographs, and other visual or sound elements are the exclusive property of Nora Thread Marketplace and/or parties holding intellectual property rights.
• Contents uploaded by Members remain their property under the license granted to Nora Thread Marketplace and Users.

Use of Uploaded Content

• Nora Thread Marketplace may freely use any content uploaded to the platform for communication, promotion, and presentation.

Restrictions on Reproduction:

• Reproduction, representation, or exploitation of the Platform or its content without prior authorization from Nora Thread Marketplace is strictly prohibited.
• Users may reproduce and represent parts of the Platform strictly for private and personal use, excluding commercial purposes.

Hyperlink Authorization:

• Those wishing to create a direct hyperlink to the Website must request authorization from Nora Thread Marketplace in writing.
• Authorization is not granted permanently and must be complied with promptly upon Nora Thread Marketplace’s request.

Prohibited Hypertext Links:

• Hypertext links using framing and in-line linking techniques to the Website are strictly forbidden.

10. Compliance with Legal Standards

• Each Member commits to adhere to the laws, regulations, and standards applicable to the use of services offered through the Platform, as well as to the sale, purchase, and solicitation of purchase offers or sale of items.

• Members also acknowledge that utilizing Nora Thread Marketplace services may classify them as “shop owners.”

• In cases of identified fraud (such as fraudulent copying, embezzlement, illegal importation, etc.), or upon request, Nora Thread Marketplace will provide all necessary information, including personal details, to the relevant authorities responsible for combating such fraud and infractions.

11. Duration and Termination

• Duration: The General Conditions are valid indefinitely.
• Termination by Either Party: The Member or Nora Thread Marketplace can terminate the agreement at any time, without specifying a reason, via email or on the Platform. Termination becomes effective at the end of the month following the month of notification.

Grounds for Immediate Termination by Nora Thread Marketplace

• Violation of Terms: Nora Thread Marketplace reserves the right to issue warnings, suspend, or terminate a member’s registration immediately if there’s a violation of the General Conditions or any referenced documents.
• Verification Issues: If Nora Thread Marketplace can’t verify or authenticate the provided information by the member and the member fails to respond to verification requests.
• Risk to Reputation: If the member’s actions risk damaging the reputation or responsibility of Nora Thread Marketplace, the member, or any other member.

Consequences of Termination

• Deactivation: Upon termination, the member’s account will be deactivated.
• Inaccessibility: The member’s blog and/or shop will become inaccessible and will be removed from the Platform’s search engine.

Account Suppression

Request Submission: A member who wants to delete their account should send a request to info@norathread.com.

Account Deletion Process:

• Nora Thread Marketplace will delete the account of a member upon request, provided that:
• All orders associated with the account have been completed.
• Any complaints, retractions, or refund requests have been addressed.
• No other ongoing operations are pending.

12. Evidence

• The parties recognize the recordings on the Nora Thread Marketplace servers as valid evidence.
• These recordings include the use of the Platform, access codes of the Members, and connection logs.
• Such records serve as valid evidence between the parties.

13. Stipulations

• Platform Access Suspension: Nora Thread Marketplace reserves the right to suspend or stop access to the Platform or the Website, wholly or partially, for various reasons such as maintenance, operational needs, internal decisions, or emergencies. Such actions do not incur liability or entitle members or users to damages.

• Notification to Nora Thread Marketplace: Unless stated otherwise, all notifications to Nora Thread Marketplace must be sent via email to info@norathread.com.

• Notification to Members: Notifications sent to Nora Thread Marketplace intended for a member will be forwarded to the email address provided at registration. Notifications are deemed received by the member 24 hours after being sent, unless the sender is notified of an invalid email address.

• Alternative Notification Method: Notifications can also be sent to members via registered mail with acknowledgment of receipt, to the address provided at registration. The 24-hour notification period extends to 3 days after mailing.

• Entire Agreement: The General Conditions, along with referenced documents, constitute the entire agreement between the parties. Nora Thread Marketplace reserves the right to modify the General Conditions and will notify each member via email.

• Effective Date of Modifications: Unless otherwise specified, modifications to the General Conditions become effective 15 days after being uploaded. Members have the right to refuse these changes within the 15-day period, after which their use of the platform will be terminated.

• Severability: If any provision of the General Conditions is deemed illegal, unenforceable, or inapplicable by a court decision, the remaining provisions remain valid unless it affects the overall intent of the General Conditions.

• Assignment of Rights: Each member acknowledges that Nora Thread Marketplace can freely assign its rights and obligations under the General Conditions to a third party in the event of asset transfer, merger, or acquisition.

• Tolerance: Nora Thread Marketplace’s tolerance for any breach of the General Conditions by a member or third party does not waive its right to enforce similar breaches in the future.

14. Responsibility

• Obligation of Means: Nora Thread Marketplace is only committed to a duty of care in providing its services.

• Host Liability: As a host of member-uploaded content, Nora Thread Marketplace cannot be held responsible for the content published on its Platform or Website by its members.

• Limitation of Liability for Professional Sellers: In the event of proven fault by Nora Thread Marketplace, the maximum liability of Nora Thread Marketplace towards Professional Sellers cannot exceed either the total commission paid by the Seller in the last 12 months preceding the action or 100 dollars, whichever is less.

• Reporting Violations: Members are encouraged to report any violations of the General Conditions, especially if they notice the sale of prohibited products, to info@norathread.com.

• Dispute Resolution: Nora Thread Marketplace cannot be held responsible for disputes between members.

15. Applicable Law and Competent Jurisdiction

• Interpretation: The present General Conditions are read and interpreted in accordance with the United States of America law.
• Jurisdiction: Disputes arising between the parties concerning the execution of these conditions will be settled by American courts.
• Resolution of Member Disputes: Disputes between members must be resolved between themselves, and Nora Thread Marketplace is not obligated to intervene or settle such disputes.
